Due diligence
When a company is buying or selling oil and gas interests, there is usually a stack of leases, deeds and contracts to check against the record on a deadline. We organize that review.
Big stack, short time
Diligence has a closing date and a lot of paper. We use modern tools, including AI, for a first read of leases and agreements, so key terms get into a table faster. A person reads and confirms every entry. When the stack is large, we divide it among our network of landmen so the review can finish on time. Title problems found along the way go on the issue list with the document that shows them.
What it covers
- Document review. Reading leases, assignments and agreements and pulling key terms into a table.
- Ownership checks. Comparing the seller's stated ownership to the county record for a sample of tracts or for all of them.
- Issue lists. A running list of questions found in review, with the document and page each one comes from.
- Data room preparation. Sorting, naming and indexing files so a buyer or seller can find what they need.
Scoping
Diligence is easiest to plan when we know the number of tracts, the counties and the deadline. A short call with a clear scope saves more time than it costs. Send what you have and we will tell you what we can cover and how we would split the work.
What to send
- The list of assets or tracts, with counties
- The documents you have
- The review checklist, if you have one
- The deadline and the format the buyer or seller expects
What you get
- Review tables and an issue list
- Ownership check results by tract
- A clean, indexed set of files
What we do not do
- We do not value properties or give investment or legal advice.
- We report what the documents and records say. The client and its attorneys decide what to do about it.
